AMPBID Board Election Update
|
In the
March 9th newsletter
, we announced along with the results of the annual Board of Directors elections, that the proposed bylaws revisions approved by the AMPBID Board of Directors had been ratified by the AMPBID membership. After careful review of the requirements for bylaws amendments with the AMPBID attorney, we discovered that the vote taken on the bylaws was not sufficient.
Pursuant to Section 13.01 of the Bylaws, the ratification of amended Bylaws requires “a majority of the votes of Members present, in person or by proxy, at a duly convened meeting of the Members at which a quorum shall have been obtained.” Section 4.14 of the Bylaws describes what the phrase “majority of the votes of Members present” means. It means the vote of Members present, in person or by proxy, at a meeting at which a quorum has been obtained: (i) holding more than 50% of the votes of Members present in person or by proxy AND (ii) representing more than 50% in number of all nonexempt (taxable) BID Properties. Both of those conditions must exist in order for there to be a “majority of the votes of Members present.”
According to Section 4.14 we did not meet either of those thresholds for the votes on the bylaws. Unfortunately we only had 81 members who voted which represented 18% of all BID members. A quorum was established for the meeting and for the board of directors vote. The threshold was not met for the bylaws vote only.
The board discussed this at the April 12 board meeting and will reconstitute the bylaws committee with the goal of introducing new bylaws for Board approval at the January 2023 board meeting and subsequent ratification by the members would be in March 2023 at the annual meeting. We will develop a more effective strategy to meet the voting thresholds in our current bylaws so the bylaws revisions can pass at that time.

Monthly rat abatement walkthrough tomorrow, April 14
|
The Adams Morgan Partnership -- along with DC agencies including DC Health and the Department of Public Works -- conducts a monthly walkthrough of alleys in the neighborhood looking for evidence of rodents and situations that create rodent-friendly environments (piles of trash, unsecured lids on garbage cans, etc.).
April's walkthrough will take place in the alley behind the east side of 18th Street between Columbia Rd. and Kalorama Rd. Investigators from city agencies will write warnings or citations if conditions merit it, so please be attentive to your commercial trash and the condition of the alley behind your business.

|
One of DC's favorite annual events is back this spring with a great lineup of films that we'll be announcing soon. The theme of this year's series is "The Road Less Traveled," featuring characters who are on a quest or journey of sorts.

As the District Department of Transportation (DDOT) works to meet this goal, it has taken into account road quality assessment and community requests allowing the department to first address the streets that are in greatest need and highest priority to the community.

Bike To Work Day 2022 Registration is Live
|
The League of American Bicyclists began Bike to Work Day as part of Bike Month in 1956. Over the years, Bike to Work Day has grown into a widespread event with countless bicyclists taking to the streets nationwide in an effort to get commuters to try bicycling to work as a healthy and safe alternative to driving alone. In the Metropolitan Washington region, Bike to Work Day has grown from a small group of a few hundred in 2001 to an all-time high of 18,700 participants in 2017.
The Adams Morgan pit stop will be at Unity Park again this year where we'll again be joined by
City Bikes
and
WABA
. Adams Morgan regularly has one of the highest registration rates in the city and we plan on having refreshments and other goodies available to riders in addition to the free t-shirt. We'll be updating you with more information as the event gets closer.
